Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Boshify Inc., an Alberta, Canada corporation ("we," "our," or "us"), governing your access to and use of AI SEO Engine (accessible at aiseoengine.studio) and all related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service. You must be at least 18 years of age to use the Service.

Description of Service

AI SEO Engine is an AI-powered content management and optimization platform that helps users generate, refresh, and manage SEO-focused content at scale. The Service includes:

  • AI-powered SEO content generation and optimization
  • Multi-project content management with categories and topical maps
  • Automated content workflows with configurable AI agents
  • Content performance tracking and analytics
  • Access to the AI SEO Engine community on Skool

Subscription Plans and Payment

The Service is offered through the following paid subscription plans:

  • Standard ($47/month): 1 project, 3 concurrent AI agents, unlimited usage
  • Premium ($97/month): 10 projects, 5 concurrent AI agents, priority support
  • VIP ($247/month): Unlimited projects, 10 concurrent AI agents, monthly 1:1 strategy session

Subscriptions are billed monthly through our payment processor via Skool. By subscribing, you authorize us to charge the applicable fees to your chosen payment method on a recurring monthly basis.

We reserve the right to modify pricing at any time. Price changes will be communicated at least 30 days in advance and will apply to the next billing cycle following the notice period.

No Refund Policy

All subscription fees are non-refundable. You may cancel your subscription at any time, and cancellation will take effect at the end of your current billing period. You will retain access to the Service until the end of the period you have already paid for. No partial refunds or credits will be issued for unused portions of a subscription period.

User Accounts

To access the Service, you must create an account using Google OAuth or email magic link authentication. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials and not share them with others
  • Accept all responsibility for activities that occur under your account
  • Notify us immediately at support@aiseoengine.studio of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

Content Ownership

Your content: You retain full ownership of all content you create, upload, or generate through the Service, including all AI-generated content produced on your behalf. By using the Service, you grant us a limited, non-exclusive license to store, process, and display your content solely for the purpose of providing and improving the Service to you. This license terminates when you delete your content or close your account.

Responsibility: You are solely responsible for the content you create, generate, or publish using the Service. You represent that your content does not infringe upon any third-party intellectual property rights and does not violate any applicable laws.

AI-generated content: Content generated by AI through the Service is provided "as-is." While we strive for quality and accuracy, AI-generated content may contain errors or inaccuracies. You are responsible for reviewing, editing, and verifying all AI-generated content before publishing or using it commercially.

Intellectual Property

The Service, including its software, design, features, and documentation, is owned by Boshify Inc. and is protected by Canadian and international copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand elements without our prior written consent.

Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon the intellectual property or privacy rights of others
  • Generate, publish, or distribute content that is defamatory, obscene, hateful, or promotes violence
  • Transmit malicious code, viruses, or any harmful data
  • Attempt to gain unauthorized access to the Service, other accounts, or related systems
  • Interfere with or disrupt the Service, servers, or networks
  • Scrape, crawl, or use automated means to access the Service beyond normal API usage
  • Resell, sublicense, or redistribute access to the Service without our written consent
  • Use the Service to generate spam, misleading content, or content designed to manipulate search engines in violation of their guidelines

Service Availability and Modifications

We strive to provide reliable service but do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

We reserve the right to modify, update, or discontinue any feature of the Service at any time. For material changes that reduce the functionality of your current plan, we will provide at least 30 days notice.

Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Service will meet your specific requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) AI-generated content will be accurate, complete, or suitable for any particular purpose; or (d) any defects in the Service will be corrected.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BOSHIFY INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Boshify Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) content you create, generate, or publish through the Service.

Termination

By you: You may cancel your subscription and close your account at any time. Cancellation takes effect at the end of your current billing period.

By us: We may suspend or terminate your account and access to the Service immediately, without prior notice, if you breach these Terms, engage in fraudulent activity, or if we are required to do so by law.

Effect of termination: Upon termination, your right to use the Service will immediately cease. We will retain your data for 30 days following termination, during which you may request an export of your content. After 30 days, your data will be permanently deleted.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Province of Alberta, Canada.

Before initiating any legal proceedings, you agree to first attempt to resolve the dispute informally by contacting us at support@aiseoengine.studio. We will attempt to resolve the dispute through good-faith negotiation within 30 days.

Changes to Terms

We reserve the right to modify these Terms at any time. If a revision is material, we will provide at least 30 days notice by posting the updated Terms on this page and, where possible, notifying you via email. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.

If you do not agree to the revised Terms, you must stop using the Service before the changes take effect and cancel your subscription.

Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Boshify Inc. regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
